1. Updates to These Terms

Insurgent Fitness LLC (“Insurgent Fitness”) may update or revise these Terms at any time. We’ll notify you by email and/or in the Insurgent Fitness Community forum. Continuing your membership after any update means you agree to the updated Terms.
Member notices & requests: Plan-change, hold, and cancellation requests must be emailed to info@insurgent.fitness. Requests are timestamped in MST (America/Phoenix). Unless otherwise stated, posted deadlines mean 11:59 PM MST on the date listed.

2. Required Member Photo

Because our facility is 24/7, all members must upload a clear, front-facing headshot in the Insurgent system/app.
Restrictions: no group shots, no torso/full-body, no cropped faces, no obstructions, no offensive images.
Non-compliance: door access is deactivated (no refund). Reactivation may require a state ID and manual review.
Privacy: Your photo is used solely for identity verification and access control. We will not use it for marketing without your explicit consent.

3. Rules & Safety

By purchasing any plan for yourself or a minor, you agree to follow all safety rules and staff/coach instructions on the gym floor and in classes.

4. Payments & Billing

4.1 Methods. No cash/check/money orders for recurring payments. Monthly plans auto-bill via your saved payment method (Stripe).
4.2 Schedule. Monthly plans bill on the 1st. Monthly memberships purchased before the 1st are prorated from purchase to month-end.
4.3 Agreement. You authorize recurring charges until cancelled per these Terms.

5. Price Changes

We may adjust prices up to once per calendar year. We’ll give 45 days’ notice by email/forum. If you don’t cancel before renewal, you accept the new price.

6. Merchant Fees

A processing fee may be applied to memberships, products, and one-time purchases. Current rates: 2.9% (card), 0.8% (ACH/EFT). If processor rates change, we may adjust with 45 days’ notice. Fees apply at processing and cannot be waived.
ACH returns/retries: Returned ACH/EFT and payment retries may incur bank/processor pass-through fees that will be charged to the account on file.

7. Prepaid Memberships

• Pre-2022 prepaid: 3/6/12-month blocks that auto-renew at term end.

• 2022-onward prepaid: 3/6/12-month blocks that do not auto-renew; repurchase to continue.

• All prepaid: no refunds; remaining time stays active until the stated expiration.

8. Personal Training (In-House & Online)

8.1 Auto-renewing PT (if offered). Sessions replenish monthly; unused sessions do not roll over and are non-refundable.
8.2 Non-renewing In-House PT Packages (one-time):

• 1 session ($85): valid 7 days from purchase

• 4 / 6 / 8 / 12 / 16 sessions: valid 3 months from purchase

• Complimentary 24-hour gym access is included for the package validity period only (via Kisi)

• Unused sessions are non-refundable, expire as stated, and are not transferable
  8.3 Online PT/Nutrition: Billed monthly unless otherwise stated; cancellations per §9.6.

9. Cancelling, Switching & Grandfathered Plans

9.1 Monthly plans: 30-day written notice (email accepted) before the next bill date. If 30 days, the upcoming payment is final and access continues through that billed month.
9.2 Term contracts (e.g., Insider, see §12): See plan-specific early termination rules.
9.3 Prepaid: Can be cancelled before the next renewal (if applicable); no refunds for time remaining.
9.4 Holds: See §10.
9.5 Group plans: If a member leaves, the plan downgrades to the correct headcount and rate; all group members are notified.
9.6 Personal Training (Auto-renewing): Cancel up to 2 days before the next bill. No refunds for auto-renewed cycles; use remaining sessions within the current cycle.
9.7 Switching plans: Switching is treated as a cancellation of the current plan; 30-day notice applies. The new plan starts after the current one ends (unless otherwise stated in writing by Insurgent Fitness).
9.8 Grandfathered/Legacy Plans (Discontinued Memberships).
Certain historical plans are no longer offered to new or returning members (e.g., Daylight, Evening, Midnight, BJJ Family, and other retired plans). If you currently hold one of these plans, it will remain active and grandfathered on your account so long as it is not modified, cancelled, or allowed to lapse.

• No Re-Enrollment: Once a grandfathered plan is cancelled, modified, or lapses for any reason (including failed/late payments beyond grace periods), it cannot be reinstated. Any future access must be on a current publicly available plan.

• What counts as a “modification”: Any change to plan type, included services, or headcount (e.g., adding/removing members on a family/group plan) is treated as a cancellation of the legacy plan and a switch to a current plan; the 30-day notice in §9.1 applies.

• Billing & Compliance: All standard billing, hold, cancellation, access, and photo-ID rules apply to grandfathered plans. Failure to meet these requirements may terminate grandfathered status.

• Insider Reference: Insider pricing is grandfathered only while active; if it lapses/terminates, re-enrollment (if available) is at the current public rate.

10. Holds (Monthly Memberships)

Members may place a hold for up to 3 months per rolling 12-month period. 15-day notice required. Holds run last day → last day of a month (full-month increments only).
Fees: $10 per hold month (billed when the hold is placed). Dues aren’t charged during the hold.
If on a term contract, the end date is extended by the hold length. Ending a hold early prorates dues from the lift date through month-end; hold fees are not refundable.

11. Door Access

All entrants must have a valid profile, waivers signed, fees paid, and a compliant face photo. Everyone must scan in.
No tailgating / letting others in. Penalty: 3× your monthly dues or $250 (whichever is greater) per instance, plus immediate termination without refund and a lifetime ban. Ensure doors close fully.
Key fob replacement: $40; refunded if the original is returned within 30 days.

12. Insider Rate Plans (Limited Capacity)

12.1 Overview. Capacity-limited single-discipline plans: Insider Rate — BJJ Only and Insider Rate — Muay Thai Only at $100/month each (no gym/recovery; no cross-access).
12.2 Deadline to request (current single-discipline members): November 30, 2025 at 11:59 PM MST. Requests after that date are subject to availability/waitlist.
12.3 Capacity & waitlist. Spots are limited; first-come, first-served.
12.4 Commitment. 6-month minimum term.
12.5 Early termination fee (ETF). Equal to monthly price × months remaining in the 6-month term. “Months remaining” are counted in whole months based on billing cycles (billed on the 1st).
12.6 Renewal. Auto-renews on the anniversary month of your 6-month term unless cancelled 30 days prior to the final bill month. All billing occurs on the 1st.
12.7 Grandfathering. Insider pricing is locked while your membership remains active. If you cancel/lapse, re-enrollment (if available) is at current public rates.
12.8 Stacking. Insider cannot be combined with student/veteran/first-responder/corporate discounts or other promotions.

13. $75 Gym Members — Temporary Recovery & Auto-Move

13.1 Complimentary Recovery Add-On (Sauna & Cold Plunge). For members on 24-Hour Gym $75/mo, Recovery is included at no charge from Nov 1, 2025 through Feb 28, 2026.
13.2 Automatic move if no request. On Mar 1, 2026, any account still on $75 with no submitted change will be automatically moved to Gym + Recovery at $89/mo.
13.3 Choosing a different plan. If you prefer Gym Only $59 or wish to remain at Gym + Recovery $89, submit your change request by Feb 20, 2026 at 11:59 PM MST to avoid billing timing issues.

14. Group & Family Plans (Summary)

14.1 Groups. All members on a group plan must share the same plan type; headcount changes adjust the rate. Group plans are monthly; prepaid not available. No stacking with Insider or other percentage discounts unless explicitly stated.
14.2 Family (BJJ/MT/Gym). Family plans follow the published base-plus-add-on structure, maximum headcount, and eligibility rules posted on the membership page (subject to 45-day notice changes). Family base covers up to 2 adults + 1 child unless otherwise stated; additional adults/children are priced per the current published schedule.
See §9.8 for rules governing discontinued/grandfathered plans.

15. Doors & Equipment Negligence

Propping or leaving doors open is prohibited; $200 first-offense fee. You’re liable for replacement and lost revenue from damage/theft caused by negligence. Use equipment properly; negligence (e.g., slamming weights, damaging walls/mats, leaving gear outside) incurs a $200 fine plus replacement and lost-revenue costs.

16. Payment Grace Period

There is a 4-day grace period for all payments. Keep your contact and payment info current.

17. Failed Payments & Collections

Unpaid after the 4th:

• Pre-May 1, 2022: $150 break-of-contract fee

• On/after May 1, 2022: $50 break-of-contract fee
  Account is deactivated. Balance + fee due within 30 days for reactivation.
  After 30 days: total due + $125 break-of-contract fee + next month’s dues may be sent to collections. You’re responsible for attorney fees, court costs, and 1.5% monthly interest. Accounts sent to collections may receive a lifetime ban.

18. Chargebacks

Any chargeback triggers immediate termination and a lifetime ban. We dispute chargebacks to the full extent of the law. For fraud/identity theft claims, we involve authorities. You remain liable for: the disputed charge, $150 break-of-contract fee, $25 chargeback fee, the final month’s dues, attorney fees/costs, and 1.5% monthly interest.

19. Photography & Video

By signing (for yourself or a minor), you consent to the use of photos/videos taken during activities for promotional/educational purposes without compensation.
If you film in the gym, you must obtain permission from anyone captured. No filming/photography during martial arts classes (no exceptions).
Professional/commercial shoots require written permission; unauthorized shoots incur a $500 fee per person, per instance, and a 12-month ban.

20. Social Media Conduct

Posting content from Insurgent Fitness with the intent to bully, threaten, or embarrass others is prohibited and may result in a lifetime ban and legal action.

21. Refunds

All sales are final. No refunds on dues, packages, prepaid time, products, or fees. Non-renewing PT packages are non-refundable; unused sessions expire as stated.

22. Age Requirements

Members must be 13+. Ages 13–17 must be accompanied by an active adult member at all times. No one under 18 may be in the facility unattended.

23. Loyalty Program, Discounts & Promotions

Eligibility and rules are posted on the membership page. Loyalty discounts cannot be combined with Insider, corporate/group, or other promotions unless explicitly stated. Day/Week passes, prepaid memberships, and drop-ins are not eligible.

24. Conduct

Harassment, threats, profanity toward staff/members, fighting, property damage, or other misconduct (as determined by Insurgent Fitness) can result in immediate termination without refund.

25. Sharing Personal Information

You allow Insurgent Fitness to share personal information with vendors/partners as needed for operations (e.g., billing, access control, scheduling, communications). We do not sell personal info. If you default beyond 30 days or file a chargeback, necessary data may be sent to collections/authorities.

26. Violations

Violating these Terms or engaging in misconduct may result in immediate termination without refund. All outstanding balances become due upon termination.

27. Severability

If any provision is invalid or unenforceable, the remainder stays in effect to the fullest extent permitted.

28. Governing Law & Venue

These Terms are governed by Arizona law. Any legal action must be brought exclusively in the state or federal courts in Arizona, and you waive objections to venue/jurisdiction.

BY SIGNING OR PURCHASING A MEMBERSHIP (FOR YOURSELF OR A MINOR), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS IN FULL.

In consideration for your membership at Insurgent Fitness LLC and your participation in the sport and/or Martial art of your choosing, or you are choosing on behalf of your minor child(ren), AGREE TO RELEASE FROM ANY LEGAL LIABILITY AND AGREE NEVER TO SUE Insurgent Fitness LLC, its staff, its instructors (whether those instructors are paid by Insurgent Fitness LLC or are teaching a martial arts or participating as instructors in the sport on a voluntary basis), or as a seminar, other individuals who have purchased a membership at Insurgent Fitness LLC, and all of their successors, heirs, assigns, directors, officers, partners, investors, shareholders, members, agents, employees, owners, landowners, parent and subsidiary companies, and affiliated companies (collectively the members) for injury and death resulting from your participation in the sport and/or martial art of your choosing, or you are choosing on behalf of your minor child(ren), regardless of the cause, including the NEGLIGENCE or ALLEGED NEGLIGENCE of the members. You further AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS the members for any claims, lawsuits, damages, attorney fees, costs, investigative costs, or judgments, arising out of your participation, or your child(ren)’s participation, in the given sport and/or martial arts training and/or instruction and/or related activities and/or other recreational activities and services Insurgent Fitness LLC may provide.

1. Physical Demands
   Because of the physical demands, in any fitness activity, including martial arts and/or personal defense instruction, health and fitness, workouts, and personal training, you understand that YOU and your child must be in good physical condition to participate in any activity at Insurgent Fitness, LLC. You further understand that in case of injury, the only medical treatment Insurgent Fitness LLC staff  will provide is first aid. 
2. Release
   UNDERSTAND THAT THIS IS A RELEASE OF LIABILITY AND IS VALID FOREVER, and will apply at any and all time during your participate in the sport, whether past, present, or future, under the direction of or with the implied or actual consent of or in conjunction with or with the participation of any of the members, and that if at any time you cease to pay Insurgent Fitness LLC for membership, this RELEASE OF LIABILITY will continue to be applicable.
   
   You understand that this RELEASE OF LIABILITY will prevent you, your children, your spouse, friends, family, legal council, or heirs from filing a suit or making any claim for damages in the event of any injury or death arising from your participation, or your child(ren)s participation, in the activity which may occur under the direction of or with the implied or actual consent of or in conjunction with or with the participation of any of the member.
   
   Additionally, in the event that you, your children, or any of your agents, heirs, attorneys, legal representatives, or assignee's file a claim or lawsuit arising out of or relating in any way to your participation, or your child(ren)’s participation, in the sport, martial art, or fitness activity, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE MEMBER FOR ANY DAMAGES, ATTORNEY FEES, OR COSTS ARISING OUT OF SUCH A CLAIM OR LAWSUIT.
   
   With full understanding of this agreement, you nevertheless enter into this waiver of liability freely and voluntarily and agree that it is binding upon yourself, your child, your heirs, your spouse, your agents, legal council, and any designated assignee's you appoint on your behalf or your child(ren)s behalf. It is your intention that this release will be effective to bar any and all claims, of any kind known or unknown, suspected or unsuspected, arising out of, or related to the activities you and your child(ren) participate in at any Insurgent Fitness facility or Insurgent Fitness hosted event. You expressly waive all rights under this waiver.
   
   If any portion of this agreement is held invalid, you agree that the remainder of the agreement shall remain in full legal force and effect. 
3. Indemnification
   You recognize that there is a risk involved in the types of activities offered by Insurgent Fitness, LLC. Therefore you accept the financial responsibility for any injury that you, and/or your child(ren), may cause either to yourself or by any other participant due to your own negligence, or a members’ negligence. Should you, or anyone acting on your behalf, be required to incur attorneys fees and costs to enforce this agreement, you agree to reimburse such fees and costs to the Members.
   
   You further agree to indemnify and hold harmless Insurgent Fitness, LLC, their principals, agents, employees, members and volunteers from liability for the injury or death of any person(s) and damage to property that may result from your negligent or intentional act or omission while participating in activities offered by Insurgent Fitness, LLC, at the main building or abroad. This includes but is not limited to parks, recreational areas, playgrounds, areas adjacent to the main building, and/or any area selected for training by Insurgent Fitness, LLC.
   
   Additionally, On behalf of the participant and individually, the undersigned partner(s) and/or legal guardian(s) for the minor participant executes this Waiver and Release. If, despite this release, the participant makes a claim against any of the Members, the parent(s) and/or legal guardian(s) will reimburse the Members for any money which the Members have paid to the participant, or on their behalf.
   
   Furthermore, specifically, you agree to hold harmless the School and all other individuals, organizations, sponsors, promoters, operators, hosts, instructors, associations, schools, owners, officials, directors, employees and other participants connected with the event or classes from all losses, damages, injuries, causes of actions, claims, or complaints in the event that you, and/or your child(ren), are injured in any way during the participation, instruction and/or performance of any exercise or during any activity associated with an event and/or class location or during transit to or from the event and/or class.
4. Emergency Treatment
   In the event of an emergency, you hereby authorize Insurgent Fitness LLC to administer emergency treatment to you and/or your child(ren) for any accident or illness and to act in your stead in approving necessary medical care. You also authorize any licensed medical personnel to perform any accepted medical procedure and/or treatment deemed necessary and reasonable under the circumstances, and you also agree to bear the expense of any such medical procedure and/or treatment, and to DEFEND AND INDEMNIFY the Members from any costs arising out of or related to such medical procedure and/or treatment.
   
   If you are signing on behalf of a minor child, you also give full permission for any person connected with Insurgent Fitness, LLC to administer first aid deemed necessary, and in case of serious illness or injury, you give permission to Members to call for medical and or surgical care for the child and to transport the child to a medical facility deemed necessary for the well being of the child.
5. Signature
   BY SIGNING THIS DOCUMENT ON YOUR OWN BEHALF OR ON BEHALF OF YOUR MINOR CHILD(REN) YOU ACKNOWLEDGE THAT YOU HAVE BEEN GIVEN AN OPPORTUNITY TO FULLY REVIEW THIS DOCUMENT, INCLUDING THE OPPORTUNITY TO HAVE LEGAL COUNSEL OF YOUR CHOOSING REVIEW IT, IF YOU SO DESIRED, AND YOU ACKNOWLEDGE THAT YOU ARE SIGNING WITH FULL UNDERSTANDING OF THIS WAIVER, INCLUDING ANY AND ALL RESPONSIBILITIES AND RISKS YOU ASSUME AS A RESULT OF SIGNING THIS LIMITED LIABILITY WAIVER AND HAVE BEEN GIVEN A COPY OF THIS DOCUMENT IF YOU HAVE SO REQUESTED.
   
   By signing for yourself and/or on behalf of your minor child(ren), you are stating your understanding of the foregoing risks, and the release of liability of Insurgent Fitness, its members, instructors, and staff, and understand that By signing for yourself and/or on behalf of your minor child, it obligates you to indemnify Insurgent Fitness, LLC for any liability of injury or death of yourself or child(ren) and any person and damage to property caused by your negligent or intentional act or omission by the services, products, and or services provided by Insurgent Fitness LLC. You understand that By signing for yourself and/or on behalf of your minor child to these terms you are waiving valuable legal rights.

This waiver is directly related to COVID-19 and all other communicable diseases.

• By signing this waiver for yourself and/or on behalf of your minor child(ren), you take full knowledge of the current status and evolving nature of the global coronavirus pandemic (COVID-19), knowingly and voluntarily acknowledge that your attendance and participation in martial art classes or your participation in the gym facility at Insurgent Fitness LLC is completely voluntary.
  
  

1. By signing this waiver for yourself and/or on behalf of your minor child(ren), , you are fully and completely aware that your participation to ANY activity, gym, personal training, fitness classes, and/or any martial art classes may subject you and expose you to communicable diseases including but not limited to COVID-19, other coronaviruses, seasonal flus, colds, bacterial, or viral diseases.
   
   
2. By signing this waiver for yourself and/or on behalf of your minor child(ren), , you are aware of the actual dangers involved and appreciate the nature and extent of the specific risks including but not limited to personal injuries, fatigue, illness, respiratory failure, hospitalization and associated required treatments such as medications and ventilation, and possible death.
   
   
3. By signing this waiver for yourself and/or on behalf of your minor child(ren),  voluntarily and knowingly assume these risks and agree to subject yourself and/or your child(ren) to these risks by participating in classes or use of the gym facility with full knowledge of the potential consequences.
   
   
4. You also agree to not attend any class, or have your child(ren) not attend any class, if you or your child(ren) have any suspicion that you or child(ren) have been exposed to COVID-19, are sick, or have any communicable disease of any kind.
   
   
5. You hereby specifically waive any legal rights and agree that you, your family, friends, heirs, children, legal council, or any assignees may file any lawsuit against Insurgent Fitness LLC, its affiliates, owners, instructors, professors, employees, or members in any way related to the above-referenced diseases/illnesses.
