1. UPDATES TO THESE TERMS

• Insurgent Fitness LLC (“Insurgent Fitness”) reserves the right to update or revise these Terms and Conditions at any time.
• Members will be notified of changes through the Insurgent Fitness Community forum or by email.
• By continuing your membership after any update, you agree to the updated Terms and Conditions.

2. REQUIRED MEMBER PHOTO

2.1 Mandatory Photo

• Because Insurgent Fitness provides 24-hour facility access, all members must upload a clear, front-facing photo of their face to their profile within the Insurgent Fitness app/system.

2.2 Photo Restrictions

• No group photos.
• No full-body or torso-visible photos (if your waist or torso is visible, it is too far away).
• No cropped photos that cut off any part of your face.
• No objects obstructing any part of your face.
• No offensive or obscene images.

2.3 Failure to Comply

• Failure to upload a compliant photo will result in immediate deactivation of door access (no refund or credit).
• Reactivation requires additional steps (e.g., sending a state-issued photo ID) and a manual account review by staff.

3. RULES AND SAFETY

• By purchasing a membership or training package (for yourself or on behalf of a minor child), you agree to obey all instructions from Insurgent Fitness instructors, staff, and personal trainers.
• You also agree to observe all safety rules within the Insurgent Fitness facility.

4. RECURRING PAYMENTS

4.1 Payment Methods

• Cash, checks of any form, and money orders are not accepted for recurring membership payments.
• Checks (of any form) and money orders are not accepted for any purchases with Insurgent Fitness.
• By purchasing any monthly plan, you authorize automatic billing via any payment method you place on file.

4.2 Billing Schedule

• Auto Draft Dates for monthly plans occur on the 1st of every month.
• Prepaid Plans (purchased prior to 2022): Auto-renew according to their original billing cycle from the date of purchase.
• Prepaid Plans (purchased in or after 2022): Do not auto-renew at the end of the term.
• Prorated Charges (for memberships started before the 1st of a month):
  • Memberships are prorated from the purchase date to the last day of the same month.
  • Proration is calculated by dividing the monthly membership cost by the number of days from purchase to the end of the month.

4.3 Agreement

• By signing (for yourself or on behalf of a minor), you acknowledge that all recurring payments will continue until canceled in accordance with these Terms.
• Insurgent Fitness uses Stripe as its primary payment processor.

5. MEMBERSHIP PRICE INCREASES

• Insurgent Fitness reserves the right to increase membership prices once every calendar year.
• A 45-day notice will be provided via email or the Insurgent Fitness global community forum before any price increase takes effect.
• If you do not cancel your membership before the auto-renew date (per the cancellation terms in these Terms), you are deemed to have consented to the new price.

6. MERCHANT FEES

6.1 Fee Overview

• Insurgent Fitness may charge a merchant processing fee on all membership sales, product sales, one-time purchases, and any other payments processed through its merchant processor.
• Current fees:
  • Debit/Credit Card: 2.9%
  • ACH (EFT): 0.8%

6.2 Fee Changes

• The merchant fee may increase if the merchant processor’s rates increase.
• Insurgent Fitness will provide a 45-day notice via email if the fee changes.

6.3 Merchant Fee Billing Date

• The merchant fee is not listed on the invoice at the time of billing; it is applied when the invoice is sent to the merchant processor.
• Because invoices can be edited prior to final processing, the fee is calculated and billed separately upon final submission.
• Insurgent Fitness cannot waive the merchant fee.

7. PREPAID MEMBERSHIPS

7.1 Pre-2022 Prepaid Memberships

• Offered in 3-, 6-, or 12-month blocks.
• These auto-renew at the end of each block.

7.2 2022-Onward Prepaid Memberships

• Offered in 3-, 6-, or 12-month blocks.
• These do not auto-renew at the end of the block (must be repurchased upon expiration).

7.3 Refunds for Prepaid Memberships

• No Refunds: Canceling a prepaid membership does not trigger any refund.
• Any remaining days remain active until the block’s expiration date.

8. PERSONAL TRAINING MEMBERSHIPS

8.1 Sessions

Auto-Renewing PT Memberships

• Provide a set number of sessions each month.
• Sessions refill at the start of each billing cycle.
• Unused sessions do not carry over and are forfeited at the end of each month.

Non-Renewing PT Memberships

• Provide a set number of sessions valid for 3 months from purchase.
• Unused sessions after 3 months are forfeited and not eligible for refund or credit.

8.2 Gym Access

• Auto-Renewing In-House PT Memberships: Include 24-hour gym access.
• Non-Renewing In-House PT Memberships: Do not include 24-hour gym access.

9. CANCELING MEMBERSHIPS

9.1 General Cancellation (Monthly Plans)

• All recurring monthly plans require a 30-day written notice (email is acceptable) before the next billing date.
• If the notice is received fewer than 30 days before billing, the upcoming payment processes as the final payment, and cancellation is effective at the end of that billed month.

9.2 Yearly Contract Membership

• Requires the same 30-day written notice.
• An Early Cancellation Fee of $150 applies immediately upon notice of cancellation.
• If the notice is given fewer than 30 days before billing, the final payment processes as scheduled, and the membership will not renew at the end of the yearly commitment.

9.3 Prepaid Memberships

• Can be canceled at any time prior to the next recurring payment date.
• If a prepaid plan has auto-renewed, refunds are not issued.
• Canceling a prepaid membership does not entitle a refund for unused days or months remaining.

9.4 Canceling a Membership on Hold

• Memberships on hold still require a 30-day notice to cancel.
• If cancellation is requested during a hold:
  • The hold is lifted immediately, and unused hold time is forfeited.
  • A prorated amount is charged for the remaining days of the month.
  • If the request is fewer than 30 days before the next billing cycle, the final payment is processed on the 1st, and cancellation is effective at the end of that month.

9.5 Canceling Multi-Member Memberships

• Any member on a multi-member plan can cancel under the same 30-day notice requirement.
• If one member cancels:
  • The plan downgrades to reflect the new number of members, which changes the monthly rate.
  • All group members are notified by email.
  • Example: A 3-member plan becomes a 2-member plan after the final payment for the 3-member plan is processed.

9.6 Canceling Personal Training

• In-House or Online personal training plans can be canceled up to 2 days prior to the next billing date.
• Unused sessions can be used until the end of the current billing cycle.
• No refunds if the personal training plan has already auto-renewed.

9.7 Canceling Group Fitness Memberships

• All recurring Group Fitness plans require a 30-day notice prior to the next billing date.
• If the notice is fewer than 30 days, the upcoming payment processes, and cancellation occurs 30 days after that bill date.

9.8 Canceling or Switching Memberships

• Switching to a new membership is treated as canceling the current plan, thus requiring a 30-day notice.
• The old membership ends per these Terms, and the new membership becomes active after the old membership ends.

10. HOLDS ON MEMBERSHIPS AND IN-HOUSE PERSONAL TRAINING PLANS

• Standard recurring monthly memberships may be placed on hold for up to 3 months within a 12-month period.
• A 15-day notice is required before the next billing date to place a hold.
• If notice is fewer than 15 days, the upcoming payment will still be debited, and the hold takes effect 30 days after that bill date.

10.1 Hold Duration

• All holds start on the last day of a month and end on the last day of a month.
• Holds are taken in monthly increments (no exceptions).

10.2 Hold Fees

• $10 per month on hold, billed immediately when the hold notice is received.
• No monthly membership dues are billed during the hold.

10.3 Yearly Contract Extensions

• Holds on a yearly contract do not count toward the 12-month commitment; the contract end date is extended by the number of hold months.

10.4 Removing a Hold Early

• If the hold is lifted before the scheduled end, the membership is prorated from the hold-lift date to the end of that month.
• Normal billing resumes on the 1st of the next month.
• Hold fees are non-refundable if the hold ends early.

11. DOOR ACCESS

11.1 Door Access Requirements

• All non-members must:
  1. Register with Insurgent Fitness
  2. Sign all waivers
  3. Pay the daily drop-in fee or purchase a membership/class
  4. Upload a clear face photo
• Everyone must scan into the door system before entering the facility.

11.2 Prohibitions

• Allowing anyone to enter using your access or to accompany you without registering/paying is strictly prohibited.
• Letting in someone whose door access is not functioning or who lacks a proper face photo is also prohibited.

Penalty:

• A fee of either three (3) times your monthly membership rate or $250 (whichever is greater), per instance.
• Immediate termination of your membership without refund.
• A lifetime ban from rejoining the facility.

11.3 Responsibility

• You are responsible for ensuring the door closes behind you upon entry or exit.
• If someone follows you in without valid access, you may be held liable.

11.4 Membership Key Fob Replacement

• Lost or stolen key fobs must be reported immediately.
• Replacement fee: $40.
• If the original fob is returned within 30 days, the replacement fee is refunded.

12. DOORS & EQUIPMENT NEGLIGENCE

12.1 Doors

• Propping open or leaving any door open is strictly prohibited.

Penalty:

• $200 fee for the first offense.
• You are responsible for replacement costs and any lost revenue if equipment is damaged, lost, or stolen due to a propped-open door.

12.2 Equipment Usage

• You are responsible for using all equipment properly and safely.

Equipment Negligence includes (but is not limited to):

• Leaving barbells loaded, causing damage.
• Throwing or slamming plates/dumbbells.
• Hanging on heavy bags.
• Damaging walls, mats, gloves, etc.
• Using equipment outside, causing chips, cracks, or weather damage.
• Leaving equipment outside, resulting in loss/theft.

Penalty:

• $200 fine.
• Full financial responsibility for replacement of lost, stolen, or damaged equipment.
• Liability for any lost revenue due to the damage or loss.

13. PAYMENT GRACE PERIOD

• A 4-day grace period is provided for all payments.
• Accounts in default (unpaid after the 4th day) receive a system-generated email reminder daily until payment is received.
• Members are responsible for keeping contact information current so notices are received.

14. FAILED PAYMENTS & COLLECTIONS

• Any balance unpaid after the 4th of the month:
  • Pre-May 1st, 2022: A $150 “break of contract” fee applies.
  • On/After May 1st, 2022: A $50 “break of contract” fee applies.
• The account is deactivated, and the balance plus the fee must be paid within 30 days for reactivation eligibility.
• If payment is not received within 30 days:
  • The total amount due plus a $125 break of contract fee plus the next month’s membership fee will be sent to collections.
  • You are responsible for all attorney fees, court costs, and interest at 1.5% per month on the unpaid balance.
  • Accounts sent to collections are subject to a lifetime ban from Insurgent Fitness.

15. CHARGEBACK DISPUTES

• Filing a chargeback on any charges billed to your payment method results in automatic termination of your membership and a lifetime ban from any Insurgent Fitness facility or event.
• Insurgent Fitness will dispute chargebacks to the fullest extent of the law.
• If the chargeback is due to fraud or identity theft, Insurgent Fitness will contact local authorities and cooperate with state/federal laws in prosecuting the offending member.

Any chargeback also incurs:

1. The original disputed charge
2. A $150 break of contract fee
3. A $25 chargeback fee
4. The final month’s membership fee (had a proper cancellation occurred)
5. All attorney fees, court costs, and interest at 1.5% per month on the unpaid balance

16. PHOTOGRAPHY/VIDEO RELEASE

• By signing (for yourself or on behalf of a minor), you consent to any photo or video taken during Insurgent Fitness activities being used for promotional, educational, or advertising material (physical or digital) by Insurgent Fitness without compensation.

17. INDIVIDUAL MEMBER VIDEO/PHOTOGRAPHY

• You must obtain permission from anyone who appears in your video or photo while filming in the gym.
• No recording or photography is allowed in the Martial Arts Room during a class (no exceptions).

18. THIRD-PARTY PHOTOGRAPHY & VIDEOGRAPHY

• Professional photography/videography for any product, promotion, modeling, film, or other revenue-generating purpose is prohibited without written permission from Insurgent Fitness.

Penalty:

• A $500 usage fee per individual involved, per instance of violation.
• A 12-month ban from any Insurgent Fitness facility or event.

19. SOCIAL MEDIA BULLYING

• Posting or sharing any photo or video taken at Insurgent Fitness with the intent to bully, threaten, or embarrass others (members, staff, or the business) is prohibited.
• Violators face a lifetime ban and may be subject to legal action.

20. REFUNDS

• No Refunds: All sales are final. Insurgent Fitness does not provide refunds for any reason.
• By signing (for yourself or a minor), you understand any fees for clothing, gear, instruction, gym access, membership dues, or any other purchase are non-refundable.

21. AGE REQUIREMENTS

• All members must be at least 13 years old.
• Members 13–17 must be accompanied by an active adult member while in the facility or attending classes.
• No one under 18 may be in the facility unattended.

22. LOYALTY PROGRAM, DISCOUNTS & PROMOTIONS

22.1 Loyalty Program Eligibility

• Must make six (6) consecutive monthly payments without late payments, holds, or cancellations.
• Only memberships explicitly marked as eligible qualify.
• Eligibility begins with the first full payment (on the 1st of the month). Prorated payments do not count.

22.2 Loyalty Discount Application

• Once qualified, the discount applies starting from the 7th month of consecutive payments and continues indefinitely unless a payment is missed or the membership is canceled.

22.3 Loss of Loyalty Discount

• Canceling after qualification permanently revokes the discount; there is no option to reapply.

22.4 Hold Policy

• Members who qualify for the Loyalty Program can place their membership on hold without losing the discount after they have become eligible.

22.5 Combining Discounts

• The Loyalty Program discount cannot be combined with any other discount or promotion.

22.6 Promotions

• Promotional offers are temporary and cannot be combined with the Loyalty Program discount.

22.7 Membership Types

• Day passes, week passes, prepaid memberships, and drop-in memberships are not eligible for the Loyalty Program.

23. CONDUCT

• All members must adhere to acceptable standards of behavior.
• Profanity, abuse, harassment, threats, fighting, property damage, or any offensive behavior (as deemed by Insurgent Fitness) will result in immediate membership termination without refund.
• Any violation of these Terms may also result in immediate removal from the facility.

24. SHARING PERSONAL INFORMATION

• By signing (for yourself or on behalf of a minor), you allow Insurgent Fitness to share personal information with vendors and partners as necessary for business operations.
• Insurgent Fitness does not sell or share personal information beyond these vendors/partners.
• Shared information may include (but is not limited to): name, email, address, date of birth, phone number, or other necessary data.
• Personal information may be sent to a collections agency if you default on payment after 30 days or immediately upon initiating a charge dispute.

25. TERMS OF SERVICE VIOLATIONS

• Violating any part of these Terms or engaging in misconduct may result in immediate membership termination without refund.
• Any remaining balance becomes due immediately upon termination.

26. SEVERABILITY

• If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

27. GOVERNING LAW & VENUE

• These Terms are governed by the laws of the State of Arizona without regard to conflict-of-law principles.
• Any legal action must be brought exclusively in the state or federal courts located in Arizona. Members waive any objection to venue or jurisdiction in these courts.

BY SIGNING OR PURCHASING A MEMBERSHIP (FOR YOURSELF OR A MINOR), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THE ABOVE TERMS AND CONDITIONS IN THEIR ENTIRETY.

In consideration for your membership at Insurgent Fitness LLC and your participation in the sport and/or Martial art of your choosing, or you are choosing on behalf of your minor child(ren), AGREE TO RELEASE FROM ANY LEGAL LIABILITY AND AGREE NEVER TO SUE Insurgent Fitness LLC, its staff, its instructors (whether those instructors are paid by Insurgent Fitness LLC or are teaching a martial arts or participating as instructors in the sport on a voluntary basis), or as a seminar, other individuals who have purchased a membership at Insurgent Fitness LLC, and all of their successors, heirs, assigns, directors, officers, partners, investors, shareholders, members, agents, employees, owners, landowners, parent and subsidiary companies, and affiliated companies (collectively the members) for injury and death resulting from your participation in the sport and/or martial art of your choosing, or you are choosing on behalf of your minor child(ren), regardless of the cause, including the NEGLIGENCE or ALLEGED NEGLIGENCE of the members. You further AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS the members for any claims, lawsuits, damages, attorney fees, costs, investigative costs, or judgments, arising out of your participation, or your child(ren)’s participation, in the given sport and/or martial arts training and/or instruction and/or related activities and/or other recreational activities and services Insurgent Fitness LLC may provide.

1. Physical Demands
   Because of the physical demands, in any fitness activity, including martial arts and/or personal defense instruction, health and fitness, workouts, and personal training, you understand that YOU and your child must be in good physical condition to participate in any activity at Insurgent Fitness, LLC. You further understand that in case of injury, the only medical treatment Insurgent Fitness LLC staff  will provide is first aid. 
2. Release
   UNDERSTAND THAT THIS IS A RELEASE OF LIABILITY AND IS VALID FOREVER, and will apply at any and all time during your participate in the sport, whether past, present, or future, under the direction of or with the implied or actual consent of or in conjunction with or with the participation of any of the members, and that if at any time you cease to pay Insurgent Fitness LLC for membership, this RELEASE OF LIABILITY will continue to be applicable.
   
   You understand that this RELEASE OF LIABILITY will prevent you, your children, your spouse, friends, family, legal council, or heirs from filing a suit or making any claim for damages in the event of any injury or death arising from your participation, or your child(ren)s participation, in the activity which may occur under the direction of or with the implied or actual consent of or in conjunction with or with the participation of any of the member.
   
   Additionally, in the event that you, your children, or any of your agents, heirs, attorneys, legal representatives, or assignee's file a claim or lawsuit arising out of or relating in any way to your participation, or your child(ren)’s participation, in the sport, martial art, or fitness activity, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE MEMBER FOR ANY DAMAGES, ATTORNEY FEES, OR COSTS ARISING OUT OF SUCH A CLAIM OR LAWSUIT.
   
   With full understanding of this agreement, you nevertheless enter into this waiver of liability freely and voluntarily and agree that it is binding upon yourself, your child, your heirs, your spouse, your agents, legal council, and any designated assignee's you appoint on your behalf or your child(ren)s behalf. It is your intention that this release will be effective to bar any and all claims, of any kind known or unknown, suspected or unsuspected, arising out of, or related to the activities you and your child(ren) participate in at any Insurgent Fitness facility or Insurgent Fitness hosted event. You expressly waive all rights under this waiver.
   
   If any portion of this agreement is held invalid, you agree that the remainder of the agreement shall remain in full legal force and effect. 
3. Indemnification
   You recognize that there is a risk involved in the types of activities offered by Insurgent Fitness, LLC. Therefore you accept the financial responsibility for any injury that you, and/or your child(ren), may cause either to yourself or by any other participant due to your own negligence, or a members’ negligence. Should you, or anyone acting on your behalf, be required to incur attorneys fees and costs to enforce this agreement, you agree to reimburse such fees and costs to the Members.
   
   You further agree to indemnify and hold harmless Insurgent Fitness, LLC, their principals, agents, employees, members and volunteers from liability for the injury or death of any person(s) and damage to property that may result from your negligent or intentional act or omission while participating in activities offered by Insurgent Fitness, LLC, at the main building or abroad. This includes but is not limited to parks, recreational areas, playgrounds, areas adjacent to the main building, and/or any area selected for training by Insurgent Fitness, LLC.
   
   Additionally, On behalf of the participant and individually, the undersigned partner(s) and/or legal guardian(s) for the minor participant executes this Waiver and Release. If, despite this release, the participant makes a claim against any of the Members, the parent(s) and/or legal guardian(s) will reimburse the Members for any money which the Members have paid to the participant, or on their behalf.
   
   Furthermore, specifically, you agree to hold harmless the School and all other individuals, organizations, sponsors, promoters, operators, hosts, instructors, associations, schools, owners, officials, directors, employees and other participants connected with the event or classes from all losses, damages, injuries, causes of actions, claims, or complaints in the event that you, and/or your child(ren), are injured in any way during the participation, instruction and/or performance of any exercise or during any activity associated with an event and/or class location or during transit to or from the event and/or class.
4. Emergency Treatment
   In the event of an emergency, you hereby authorize Insurgent Fitness LLC to administer emergency treatment to you and/or your child(ren) for any accident or illness and to act in your stead in approving necessary medical care. You also authorize any licensed medical personnel to perform any accepted medical procedure and/or treatment deemed necessary and reasonable under the circumstances, and you also agree to bear the expense of any such medical procedure and/or treatment, and to DEFEND AND INDEMNIFY the Members from any costs arising out of or related to such medical procedure and/or treatment.
   
   If you are signing on behalf of a minor child, you also give full permission for any person connected with Insurgent Fitness, LLC to administer first aid deemed necessary, and in case of serious illness or injury, you give permission to Members to call for medical and or surgical care for the child and to transport the child to a medical facility deemed necessary for the well being of the child.
5. Signature
   BY SIGNING THIS DOCUMENT ON YOUR OWN BEHALF OR ON BEHALF OF YOUR MINOR CHILD(REN) YOU ACKNOWLEDGE THAT YOU HAVE BEEN GIVEN AN OPPORTUNITY TO FULLY REVIEW THIS DOCUMENT, INCLUDING THE OPPORTUNITY TO HAVE LEGAL COUNSEL OF YOUR CHOOSING REVIEW IT, IF YOU SO DESIRED, AND YOU ACKNOWLEDGE THAT YOU ARE SIGNING WITH FULL UNDERSTANDING OF THIS WAIVER, INCLUDING ANY AND ALL RESPONSIBILITIES AND RISKS YOU ASSUME AS A RESULT OF SIGNING THIS LIMITED LIABILITY WAIVER AND HAVE BEEN GIVEN A COPY OF THIS DOCUMENT IF YOU HAVE SO REQUESTED.
   
   By signing for yourself and/or on behalf of your minor child(ren), you are stating your understanding of the foregoing risks, and the release of liability of Insurgent Fitness, its members, instructors, and staff, and understand that By signing for yourself and/or on behalf of your minor child, it obligates you to indemnify Insurgent Fitness, LLC for any liability of injury or death of yourself or child(ren) and any person and damage to property caused by your negligent or intentional act or omission by the services, products, and or services provided by Insurgent Fitness LLC. You understand that By signing for yourself and/or on behalf of your minor child to these terms you are waiving valuable legal rights.

This waiver is directly related to COVID-19 and all other communicable diseases.

• By signing this waiver for yourself and/or on behalf of your minor child(ren), you take full knowledge of the current status and evolving nature of the global coronavirus pandemic (COVID-19), knowingly and voluntarily acknowledge that your attendance and participation in martial art classes or your participation in the gym facility at Insurgent Fitness LLC is completely voluntary.
  
  

1. By signing this waiver for yourself and/or on behalf of your minor child(ren), , you are fully and completely aware that your participation to ANY activity, gym, personal training, fitness classes, and/or any martial art classes may subject you and expose you to communicable diseases including but not limited to COVID-19, other coronaviruses, seasonal flus, colds, bacterial, or viral diseases.
   
   
2. By signing this waiver for yourself and/or on behalf of your minor child(ren), , you are aware of the actual dangers involved and appreciate the nature and extent of the specific risks including but not limited to personal injuries, fatigue, illness, respiratory failure, hospitalization and associated required treatments such as medications and ventilation, and possible death.
   
   
3. By signing this waiver for yourself and/or on behalf of your minor child(ren),  voluntarily and knowingly assume these risks and agree to subject yourself and/or your child(ren) to these risks by participating in classes or use of the gym facility with full knowledge of the potential consequences.
   
   
4. You also agree to not attend any class, or have your child(ren) not attend any class, if you or your child(ren) have any suspicion that you or child(ren) have been exposed to COVID-19, are sick, or have any communicable disease of any kind.
   
   
5. You hereby specifically waive any legal rights and agree that you, your family, friends, heirs, children, legal council, or any assignees may file any lawsuit against Insurgent Fitness LLC, its affiliates, owners, instructors, professors, employees, or members in any way related to the above-referenced diseases/illnesses.
